The Hon. The Attorney General.
sir,
THE INNAMINGKA STFAMSHIP COMPANY LIMITED.
In regard to the alteratiore of the Articles of Aeeociet –
ion of this Company which were passed at a Confirmatory Keating
of the Company yesterday, and upon the passing of which we under- stand that your Governmert has, perding a decision from the Bçarð
of Trade, allowed the clearance of the e.n. *INNAMINCKA" and Ese
allowed her to trade on the Coast, we would wish to state that when
we were first corsulted in the matter by Major Macdorald, the
General Manager of this Company, and by the two Chirese gentlemer.
who hold between them 1900 shares out of 2200 shares in the Company
we advised the General Kanager and there two Chinese gertlemer trat
the only possible way to comply with the provisione of 6 and 7
George V Ch. 42(the Transfer Restriction Act 1916) wes for the two
Chinese gertlemer who hold a preponderating number of shares ard consequently votes in the Company to sell and transfer for value ble
ocnsideration to a British subject a sufficiert number of sheros
as would meet and comply with Section E paragraph b of the act of
Parliament.
We consider that the present amendment of the Articles
of Association is merely a subterfuge to evade the Act and has no
real effect in law, for the Artioles of Association could upon the
votee now held by the two Chinese gentlemen be agnir enørded by substituting new Artioles in their entirety for the present Articles which could effectively give the control of the Company and the ship to a number of alien directors who could by the Artiolee compel the General Manager to obey and perform their wishes ir every matter.
